Terms of Service

These Terms of Service ("Terms") are an agreement between you and Sadron Publishing LLC ("we", "us"), which operates the HarborNest mobile app (the "App") and the harbornest.app website. By using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use HarborNest.

2. Your account

You can browse listings without an account. Saving homes, contacting sellers, adding boats, subscribing and listing a property require one. Give accurate information, keep it up to date, and keep your password private. You are responsible for activity under your account.

3. What HarborNest provides

• Browsing and searching waterfront listings
• Route to Open Water, which estimates the bridges, depths and tides between an address and open water
• Boat Fit, which compares your boat with a listing's dock, waterway and bridge details
• AI search and other features marked as AI
• Messaging between buyers, sellers and agents
• Tools for creating and managing listings

4. HarborNest is not a broker or agent

HarborNest is a technology platform. We are not a real estate broker, agent, lender, appraiser, surveyor, marine surveyor or inspector, and we do not represent any buyer or seller. Using HarborNest creates no agency or fiduciary relationship with us. Listings come from the users who post them. We do not verify listings and do not guarantee that they are accurate, complete or still available.

5. Not for navigation

Route, bridge and depth information in HarborNest, including Route to Open Water, the water access shown on listings and Boat Fit results, is for information only. It is estimated from public NOAA chart and tide data, the FHWA National Bridge Inventory and listing details, which can be out of date, incomplete or wrong. It is NOT FOR NAVIGATION. It is not a survey, does not guarantee that a boat can reach or dock at a property, and is not a substitute for current official charts, Local Notices to Mariners and the captain's judgment. Before you buy or navigate, check clearances, depths, tides and local rules with official charts, tide tables and a licensed marine professional.

6. Estimates and AI results

Price, market and AI results in HarborNest are for information only. They are not an appraisal, a broker price opinion, or financial, legal or tax advice. They can be wrong, so check them with a licensed professional before you rely on them.

7. Messages are not offers

Messages and inquiries sent through HarborNest, including "Discuss an Offer" requests and any price you mention in them, are not offers, acceptances or contracts. A contract to buy or sell real estate must be in writing and signed by the parties. HarborNest does not negotiate, present or transmit offers.

8. Subscriptions

• Paid subscriptions are billed by Apple or Google to the account you use in their store.
• Subscriptions renew automatically at the price shown when you subscribed unless you cancel at least 24 hours before the end of the current period.
• A free trial turns into a paid subscription at the price shown unless you cancel at least 24 hours before the trial ends.
• Cancel in your Apple ID subscription settings or in Google Play subscriptions, the same place you subscribed. Deleting the App or your account does not cancel a subscription.
• Apple and Google handle refunds under their own policies.
• If a price changes, Apple or Google will tell you before it applies.

9. Your content

You own the content you post, such as listings, photos, boat details and messages. You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, display and distribute that content to operate HarborNest, including showing your listings in the App and on listing pages at harbornest.app. This license ends when you delete the content or your account.

You confirm that you own, or have permission to post, everything you upload, including photos and descriptions from a multiple listing service (MLS) or a photographer.

10. Listings and fair housing

When you publish a listing, you confirm that you own the property or have written authority to market it, that its details are accurate, and that it complies with fair housing laws. Keep your listings current, and mark a listing sold or remove it when it is no longer available. Licensed agents are responsible for following their license law and advertising rules, including showing their brokerage's name in their listings.

You must comply with the federal Fair Housing Act, the Florida Fair Housing Act and local fair housing laws. Do not post or send content that shows a preference, limitation or discrimination based on race, color, religion, sex, disability, familial status, national origin or any other class protected by law.

11. Community standards

We have zero tolerance for objectionable content and abusive users. Do not post or send harassment, threats, hate speech, sexual content, violent content, spam, scams, or listings you are not authorized to market.

You can report a listing or a conversation in the App, and you can block the other person in any conversation. We review reports, and we may remove content and suspend or terminate accounts that break these Terms. You can also report content to hello@sabrsoftware.com.

12. Prohibited conduct

You agree not to:

• Use HarborNest for anything unlawful
• Post fraudulent, misleading or duplicate listings
• Discriminate against anyone in violation of fair housing or other laws
• Harass, abuse or threaten other users
• Impersonate any person or business
• Scrape, reverse-engineer or interfere with HarborNest's systems
• Get around subscription or usage limits

13. Copyright

If you believe content on HarborNest infringes your copyright, send a notice to our designated copyright agent: Sadron Publishing LLC, Attn: Copyright Agent, hello@sabrsoftware.com. Include the information required by 17 U.S.C. § 512(c)(3): your physical or electronic signature; the work you believe is infringed; the material you want removed and where it appears, such as the listing link; your contact details; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or are authorized to act for the owner. We remove infringing material and terminate the accounts of repeat infringers.

14. Our intellectual property

The App and the website, including their design, code and branding, belong to Sadron Publishing LLC and are protected by intellectual property laws. Do not copy, modify or distribute any part of them without our written permission.

15. Disclaimer

HarborNest is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that HarborNest will be uninterrupted or error-free.

16. Limitation of liability

To the fullest extent the law allows, Sadron Publishing LLC and its affiliates are not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of HarborNest, including damages from:

• Relying on listing information, route or Boat Fit results, estimates or AI results
• Real estate transactions between users
• Loss of data or unauthorized access to your account
• Service interruptions or errors

Our total liability for any claim is limited to the amount you paid for your subscription in the 12 months before the claim.

17. Indemnification

You agree to indemnify and hold harmless Sadron Publishing LLC and its officers, employees and agents from any claims, damages or expenses arising from your use of HarborNest, your content, or your violation of these Terms or the law.

18. Ending your use

You can delete your account at any time in the App under Profile > Settings > Delete Account. We may suspend or terminate your account if you break these Terms. When your account ends, your right to use HarborNest ends, and we delete your information as described in our Privacy Policy.

19. Changes to these Terms

We may update these Terms. When we do, we change the date at the top, and for important changes we tell you in the App or by email. If you keep using HarborNest after a change takes effect, you accept the updated Terms.

20. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Florida.
